Any specific project engagement will be governed by a separate Statement of Work or Master Services Agreement executed by both parties, which will supplement these general Terms of Service. In the event of a conflict between these terms and a signed project agreement, the signed project agreement shall prevail.
4. Intellectual Property Rights
4.1 Website Content
All content displayed on the Website — including text, graphics, logos, icons, images, code samples, and the overall design and layout — is the exclusive property of Sog Enterprises Inc. or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws. 4.2 Service Deliverables
Unless otherwise agreed in writing, upon full payment for Services rendered, Sog Enterprises Inc. assigns to the client all right, title, and interest in the deliverables specifically created for that client under the applicable Statement of Work. Sog Enterprises Inc. retains ownership of all pre-existing materials, tools, libraries, frameworks, methodologies, and know-how used in the creation of deliverables, and grants the client a perpetual, non-exclusive license to use such pre-existing materials as incorporated into the deliverables.
4.3 Trademarks
The name Sog Enterprises Inc., the SOG Ent mark, the sogent.buzz domain, and all related names, logos, product and service names, and designs are trademarks of the Company. You may not use these marks without our prior written permission.
5. User Obligations and Conduct
When using our Website or Services, you agree to:
- Provide accurate, current, and complete information when submitting inquiries or entering into service agreements.
- Use the Website only for lawful purposes and in compliance with all applicable local, provincial, national, and international laws and regulations.
- Not engage in any activity that could damage, disable, overburden, or impair the Website or interfere with the use and enjoyment of the Website by other users.

The aggregate liability of Sog Enterprises Inc. for any claims arising out of or relating to the Website or Services, whether in contract, tort, negligence, strict liability, or otherwise, shall not exceed the total fees paid by you to the Company during the twelve months preceding the event giving rise to the claim, or one thousand Canadian dollars (CAD 1,000) if no fees have been paid.

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to principles of conflict of laws. Any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the courts located in Saskatchewan, Canada, and you irrevocably consent to the personal jurisdiction and venue of such courts.
13. Dispute Resolution
Before initiating any formal legal action, the parties agree to first attempt to resolve any dispute informally through good-faith negotiations for a period of at least thirty (30) days. The complaining party shall provide written notice to the other party describing the nature and basis of the dispute. If the dispute is not resolved through negotiation within the thirty-day period, either party may pursue available legal remedies.
14. Changes to These Terms
We reserve the right to modify or replace these Terms of Service at any time at our sole discretion. When we make changes, we will update the last updated date at the top of this page. Material changes will be communicated through a notice on our Website or via email communication prior to taking effect. If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.6 Relationship of the Parties
Nothing in these terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Sog Enterprises Inc. Each party is an independent contractor acting on its own behalf.
